STAMP
SIMPLE TOKEN AGREEMENT – MARKET PROTECTED
A new investment contract that provides crypto founders a clear path from raising private capital to launching a public token through MetaDAO, while securing market-protected ownership for investors and tokenholders.
Frequently
Asked Questions
We believe MetaDAO has implemented the most incentive-aligned structure for raising capital onchain, and providing tokenholders decision market-enforced governance. However, we also believe that many startup founders will continue to benefit greatly from raising capital from private investors alongside a public raise.
The STAMP was created to provide a clear legal and operational framework for founders to accept private investment on the path to a MetaDAO token launch. The STAMP bakes in best practices developed in partnership with the MetaDAO founders, and sourced from the Colosseum team's investment experience, to put founders on the strongest possible footing.

The STAMP is designed for all founders who want to raise private capital before launching a public token on MetaDAO.
It supports founders with no existing company entity or cap table, allowing them to form the requisite entity to take in capital immediately.
The STAMP also supports founders who have already raised private capital, have an existing equity structure, and have an existing cap table. The agreement assists in dissolving the equity structure and migrating current investors to defined token allocations prior to a public token generation event on MetaDAO.

A SAFE + Token Warrant combines equity investment with an agreement for future tokens, while a STAMP defines token allocations that replace equity entirely. A STAMP provides investors, founders, and market participants protections via MetaDAO's decision-market based governance. Unlike the typical token warrant, it also provides bounds for investor and team token allocations that are friendly to ICO participants. Teams that raise capital via a STAMP will either never have an equity structure or will be dissolving any existing equity structures in favor of launching a token specifically through MetaDAO.
STAMP is an open-source investment contract. Any crypto investor or startup founder can use it as an onramp to a MetaDAO token launch.
There is a schedule in each STAMP that defines the number of tokens each private investor receives as a portion of the project's total token supply.
The aggregate allocation to private investors is capped at 20% of the total token supply. The STAMP also specifies team allocation between a minimum of 10% and a maximum of 40%. The purpose of these parameters is to ensure an adequate percentage of tokens will be available to purchase during the public MetaDAO ICO.

Yes. Tokens received under the Colosseum STAMP are subject to a 24-month linear unlock after the token generation event. This creates alignment between private investors, teams, and liquid token holders.
